Executive Committee
The Executive Committee is appointed by the Board of trustees and has three members. It may assume all functions that are the responsibility of the Board of Trustees, except for certain key tasks such as the approval of the annual accounts and the action plan, the amendment of the Foundation’s bylaws, and the merger and liquidation processes of the Foundation.
Furthermore, any function that current legislation determines as non-delegable or any actions requiring authorization from the Protectorate cannot be transferred to the Executive Committee.
The Board of Trustees ensures that the Executive Committee is staffed by qualified individuals capable of assuming their delegated responsibilities. The Board always maintains adequate supervision to ensure that the decisions and actions undertaken are aligned with the Foundation’s objectives and regulations. This organizational structure allows for more efficient and specialized task management while ensuring that the most critical and strategic decisions remain the exclusive competence of the Board of Trustees.
